These Terms of Service (“Terms”) govern your access to and use of CDX Auction (including cdxauction.com, related domains, mobile views, APIs, and documentation) operated as part of the SpotPro / Coin Dealer X network (“we,” “us,” “CDX Auction”). By creating an account, browsing while logged in, bidding, making an offer, listing inventory, or paying a seller, you agree to these Terms and our Privacy Policy.
1. Nature of the service
CDX Auction is a timed auction marketplace for coins, bullion, currency, and related numismatic collectibles.
- Sellers are SpotPro member dealers who have been approved to list (during beta, or later under our open-seller rules).
- Buyers are members of the public who register free accounts.
- Unless we expressly say otherwise in writing, we are not the buyer or seller of lots. Title, description accuracy, shipping, taxes, and payment settlement for a sold lot are primarily between the winning buyer and the selling dealer.
- We provide software, hosting, messaging, and marketplace tools (including fraud-prevention features). We do not take possession of most inventory as a warehouse or escrow agent for physical coins.
2. Eligibility & accounts
2.1 Age and capacity
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. You may not use the service if you are barred under applicable law or a prior suspension.
2.2 Account accuracy
- Buyers must register with a real, permanent email they control. Disposable or temporary inboxes may be rejected.
- You must verify your email before bidding, making offers, or paying sellers.
- You are responsible for safeguarding your password and for activity under your account. Notify us promptly of unauthorized use.
- One person or entity should not create multiple accounts to evade limits, shill bid, or game risk controls.
2.3 Profile information
When you provide a display name, phone, shipping address, billing details for a card checkout, SMS verification, or high-value identity attestation, you represent that the information is accurate and that you are authorized to use it. See our Privacy Policy for how we process that data.
3. Buyer obligations
- Binding bids and offers. Subject to these Terms and the lot rules, bids, maximum (proxy) bids, and accepted offers are binding commitments to purchase if you win or the seller accepts.
- Payment. If you win (or your offer is accepted), you must pay the selling dealer promptly using a method that seller offers, unless cancelled under a valid rule or mutual agreement.
- Cooperation. Provide a deliverable shipping address (or valid local-pickup qualification), phone contact for fulfillment, and any information reasonably required to complete payment or delivery.
- Inspection and authenticity. Review lot descriptions, photos, grades, and seller store information carefully. Numismatic grading is opinionated; “stock” or catalog images may be for reference only when labeled as such.
- Taxes and import. You are responsible for any taxes, duties, or import rules that apply to your purchase, except where the seller is legally required to collect tax and does so.
4. Seller obligations
- Authority. You must be an authorized SpotPro account user with permission to list for that dealer account.
- Accurate listings. Titles, grades, mint marks, quantities, metal content, defects, images, and video must not be materially misleading. Disclose known problems that a reasonable buyer would expect to know.
- Ownership & legality. You may only list items you own or are authorized to sell, and that are legal to sell in the jurisdictions involved.
- Inventory & fulfillment. Maintain stock for live lots. After a valid sale and payment (or released security hold), ship or complete pickup within a reasonable time and provide tracking when shipping.
- Payment methods. Configure the payment methods you actually accept in SpotPro Company Profile. Do not request payment methods outside those you offer without buyer consent.
- Buyer pays seller only. Money for the lot goes buyer → seller. You are responsible for your merchant accounts (e.g. Authorize.Net, CARDZ3N, PayPal) and compliance with their rules.
- Risk review. You should review security holds, risk flags, and buyer details before shipping high-risk orders.
5. Listings, stock holds & media
- Listing tools may place a stock hold on SpotPro or store inventory while a lot is live. Cancelling, ending, or selling a lot may release or convert that hold according to system rules.
- Images and short product videos may come from your SpotPro inventory media, storefront files, or catalog/stock libraries. Stock images may carry a disclaimer that date, mint, or grade can differ from the specific item.
- We may refuse, delist, or cancel lots that appear fraudulent, illegal, or in violation of these Terms.
- Durations, starting price, reserve (if any), buy-now, bid increments, auto-relist, and “allow make offer” are set at list time (or as the UI allows).
6. Bidding, max bids & anti-snipe
- Maximum bids. When you set a maximum, the system may place intermediate bids on your behalf only as needed to maintain your lead, up to your max (and subject to increments and competing maxes).
- Increments. Bids must meet the minimum next bid and increment rules shown on the lot.
- Timer extensions. Bids placed near the scheduled end may extend the lot (currently typically by about two minutes when activity occurs in the final two minutes). The displayed end time controls.
- Buy Now. If offered, purchasing via Buy Now may end the auction early at the stated price according to the lot rules.
- Errors. Report obvious price or UI errors immediately. We and/or the seller may cancel a lot or sale for clear system error, illegal items, or fraud—but ordinary bidder’s remorse is not a basis to cancel a binding win.
7. Make offer
Where a lot allows offers, buyers may submit a private best offer. Offers are not public bids. Sellers may accept, counter, or decline. Accepted offers create a sale and invoice similar to a winning bid. Offers may expire (typically within about 48 hours unless the UI states otherwise). Minimums may be tied to the bid floor and must stay below Buy Now when Buy Now is set.
8. Fees
SpotPro sellers pay $0 listing and $0 selling platform fees on CDX Auction. Buyers do not pay a platform buyer’s premium to CDX Auction unless a future fee is disclosed before bidding. Payment processors, banks, shipping carriers, and sellers may charge their own fees.
9. Payments, holds & fulfillment
9.1 Who you pay
You pay the selling dealer, not a CDX Auction “platform wallet” for coin settlement. Card, PayPal, Zelle, wire, cash, and pickup options appear only if that seller has enabled them. We do not hold auction coin payments in a CDX card account (Stripe may still be used elsewhere for SpotPro software subscriptions).
9.2 Card payments
- Card forms tokenize payment data to the seller’s gateway (e.g. Authorize.Net Accept.js or CARDZ3N/NMI Collect.js).
- We may require billing name and ZIP, compare them to your shipping profile, and send billing fields to the gateway for AVS-style checks.
- We rate-limit card attempts to reduce card-testing abuse.
9.3 Security holds on high-risk cards
For elevated fraud risk (for example first-time high card payments, billing/shipping mismatches, new accounts, unverified phone on larger orders, multi-account device signals, or high composite risk scores), a successful card capture may be marked as a security hold. The seller must release the hold (or otherwise confirm) before treating the order as fully cleared for shipment under our tools. Hold criteria are operational anti-fraud controls and may be updated; summaries appear in help/docs.
9.4 Offline payments
If you pay by PayPal, Zelle, wire, cash, or similar, you may report payment in the app. Reporting is not confirmation. The seller must confirm funds before you should expect shipment. False payment reports are a serious violation.
9.5 Chargebacks & payment disputes
If you dispute a card charge, you must still act in good faith with the seller. Unwarranted chargebacks after receipt of goods may result in account suspension. Sellers remain responsible for their merchant dispute process with their processor.
10. Shipping & local pickup
- Shipping is arranged by the seller. Costs may be shown on the invoice or agreed after the sale depending on the listing and seller policy.
- Local pickup is available only when the seller offers it. Buyers must be in the same U.S. state as the seller’s store and within the seller’s configured distance of their store ZIP (default often about 75 miles, configurable by the seller within platform limits), and must confirm they can pick up in person. The same same-state + mile-radius rule is used on ExtraCoins storefront pickup.
- Risk of loss for shipped goods generally passes according to the seller’s shipping terms and carrier rules once properly shipped; follow up with the seller and carrier for transit issues.
11. Trust & safety / fraud controls
To protect dealers and legitimate buyers, we may:
- Require email verification, phone SMS verification, and (for higher amounts or elevated risk) identity attestation;
- Validate shipping addresses against postal/ZIP data and reject obviously false addresses;
- Limit registration, login attempts, verification resends, and card attempts by rate and risk;
- Store device fingerprints, IP addresses, and risk scores/flags for multi-account and abuse detection;
- Delay, hold, reverse tool-status, cancel, or refuse transactions that appear fraudulent;
- Share limited fraud-relevant context with the selling dealer for a transaction involving you.
These controls are not a guarantee against fraud. Sellers should still use sound judgment before shipping.
12. Prohibited conduct
You may not:
- Engage in shill bidding, bid manipulation, fake accounts, or feedback fraud;
- Use stolen cards, run card-testing scripts, or submit false offline payment reports;
- List counterfeits, stolen goods, or items you cannot legally sell;
- Misrepresent grade, authenticity, weight, or metal content in a material way;
- Harass users, scrape the site abusively, reverse engineer for attack, or disrupt the service;
- Circumvent seller approvals, risk holds, phone/ID checks, or geographic pickup limits without authorization;
- Use the marketplace for money laundering or other unlawful activity.
13. Content & intellectual property
- CDX Auction branding, software, and site design are owned by us or our licensors.
- You retain rights in content you upload (photos, descriptions, videos) but grant us a non-exclusive license to host, display, and transmit that content as needed to run the marketplace.
- Catalog/stock photography and third-party marks remain subject to their owners’ rights; use on the platform does not transfer ownership to you.
- Do not upload content that infringes others’ IP or privacy rights.
14. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” especially during beta. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, that listings are accurate, that buyers or sellers will complete, or that fair-price / metal-value / guide badges are appraisal-quality valuations. Metal prices and collectible markets move; past or displayed prices are not guarantees.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CDX AUCTION, SPOTPRO, AND THEIR OPERATORS, AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) FEES YOU PAID TO US FOR CDX AUCTION ACCESS IN THE THREE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.
We are not liable for acts or omissions of buyers or sellers, payment processors, carriers, or third-party sites linked from the marketplace.
16. Indemnification
You agree to defend, indemnify, and hold harmless CDX Auction, SpotPro, and their operators, officers, and agents from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your listings, bids, offers, payments, content, violation of these Terms, or violation of law or third-party rights.
17. Suspension & termination
We may suspend or terminate access, cancel lots, or reverse tool-level statuses when we reasonably believe there is fraud, legal risk, Terms violations, or technical need. You may stop using the service at any time. Provisions that should survive (including IP, disclaimers, liability limits, and indemnity) survive termination.
18. Disputes between users
Payment, authenticity, shipping damage, and similar disputes are first between buyer and seller. During beta we may, at our sole discretion, help relay information or suggest resolutions, but we are not a court, arbiter, or escrow agent unless a separate written program says so. Feedback should be honest and not defamatory.
19. Changes to the service or Terms
We may modify features, risk rules, fees (with disclosure), or these Terms. Material changes will be indicated by updating the “Last updated” date and, where appropriate, a site notice or email. Continued use after changes become effective constitutes acceptance of the revised Terms.
20. Governing law
These Terms are governed by the laws of the State of Michigan, USA, without regard to conflict-of-law rules, except where mandatory consumer protections of your residence apply. Exclusive venue for disputes against us that may be brought in court shall be state or federal courts located in Michigan, unless applicable law requires otherwise. If you and we later agree in writing to arbitration for certain claims, that writing controls.
